Jonathan P. Ellis, Esq.
Texas Energy & Business Attorney

I built my career at the intersection of law and the energy industry. I’ve served as corporate counsel for numerous companies since 2013, most recently as General Counsel at Stakeholder Midstream, LLC, a position I held for nine years.

With over 13 years of legal experience, I now focus my private practice on commercial contracts, midstream energy agreements, and business law. Having sat in the in-house chair my entire career, I understand that legal advice has to serve the deal and the business behind it — not just the document.

Based in San Antonio, I serve energy companies, operators, and businesses throughout Texas with strategic, precise counsel built for real-world deal-making.

Experience That Speaks
for Itself

Thirteen years built in the demands of the midstream energy industry — and a commercial skill set that serves businesses of every kind.

Commercial Midstream & Energy Agreements

Negotiated and drafted long-term gathering, processing, and transportation agreements which generated annual revenues ranging from $10K to $100MM+ and anchored more than 5,500 miles of pipeline.

The same contract discipline applies to any business that runs on its commercial agreements — supply, logistics, service, and multi-year deals.

Mergers, Acquisitions & Divestitures

Guided buyers and sellers through acquisitions and divestitures — diligence, negotiation, and integration — on transactions ranging from $2MM to $1.25BN.

Vendor, Service & Construction Agreements

Negotiated hundreds of master service agreements and two major gas plant EPC agreements supporting field operations and large capital builds.

Builds and standardizes the service and construction contracts that keep any company’s operations and capital projects moving.

Outside General Counsel

Acted as sole in-house counsel for a midstream enterprise, advising the C-suite and board across commercial, governance, regulatory, and risk matters.

Serves as on-call general counsel for growing companies: day-to-day contracts, vendor agreements, employment questions, and the strategic calls that come with scaling.

Litigation & Dispute Management

Directed matters from small-dollar claims through nine-figure arbitration to favorable resolution — selecting and managing outside counsel, setting strategy, and controlling budget.

Corporate Governance & Business Advisory

Advises owners, executives, and boards on entity structure, governance, and the decisions that protect a business as it grows.
